1. Acceptance of Terms
These Terms of Service ("Terms") govern your use of the Mefoli platform ("Platform"), operated in India, which enables schools, teachers, parents, and vendors to participate in a school art fundraising program. By creating an account or using the Platform, you agree to be bound by these Terms.
If you are registering on behalf of a school or organization, you represent that you have the authority to bind that entity to these Terms.
2. Description of Service
Mefoli ("Memory for Life") is a platform that allows:
- Schools and teachers to upload photographs of student artwork
- Parents and guardians to view their child's artwork and order keepsake products (mugs, t-shirts, tote bags, canvas prints, etc.)
- Vendors to list products, receive orders, and fulfill them
- Schools to earn fundraising commissions from product sales
Mefoli acts as an intermediary connecting schools, parents, and vendors. We facilitate transactions but do not manufacture products directly.
3. User Accounts and Roles
3.1 Account Creation
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 User Roles and Responsibilities
Parents / Guardians:
- Must be 18 years or older to create an account
- Are responsible for providing consent for their child's artwork to be used on the Platform
- Are responsible for the accuracy of shipping and billing information
Teachers:
- Must be authorized by their school to upload student artwork
- Are responsible for ensuring artwork is uploaded with the correct student attribution
- Must not upload inappropriate content or content that is not student artwork
School Administrators:
- Must have the authority to represent their school on the Platform
- Are responsible for managing teacher accounts and school programs
- Must ensure their school has appropriate permissions and consents to participate
Vendors:
- Must provide accurate business information including PAN/GSTIN where applicable
- Are responsible for product quality, accurate descriptions, and timely fulfillment
- Must comply with all applicable consumer protection and product safety laws
4. Acceptable Use
You agree not to:
- Use the Platform for any purpose other than its intended school art fundraising function
- Upload content that is obscene, offensive, harmful, or unrelated to student artwork
- Attempt to access another user's account or data without authorization
- Use automated tools, bots, or scrapers to access or collect data from the Platform
- Interfere with or disrupt the Platform's infrastructure or other users' access
- Use artwork images obtained through the Platform for any purpose not authorized by these Terms
- Misrepresent your identity, role, or affiliation with a school
- Violate any applicable laws, regulations, or third-party rights
We reserve the right to suspend or terminate accounts that violate these guidelines.
5. Artwork Ownership and Licensing
5.1 Ownership
All rights to student artwork remain with the student and their parent or guardian. Mefoli does not claim ownership of any artwork uploaded to the Platform.
5.2 License Grant
By uploading artwork to the Platform (directly or through a teacher or school administrator), the parent or guardian grants Mefoli a non-exclusive, royalty-free, limited license to:
- Display the artwork within the Platform to authorized users
- Reproduce the artwork on products ordered through the Platform
- Share the artwork with vendors solely for the purpose of product fulfillment
- Create product preview images showing the artwork on products
This license exists only for the duration the artwork is on the Platform and terminates when the artwork is deleted. This license does not grant Mefoli the right to use artwork for advertising, promotional materials, or any purpose outside the Platform without separate, explicit consent.
5.3 Artwork Removal
Parents and school administrators may request removal of artwork at any time. Upon removal, the license granted above terminates, except for artwork already reproduced on products in production or previously delivered.
6. Product Orders, Payments, and Refunds
6.1 Orders
When you place an order, you are entering into a purchase agreement for customized products. Product availability, pricing, and delivery timelines are displayed at the time of order.
6.2 Payments
All payments are processed in Indian Rupees (INR) through Razorpay. By making a payment, you agree to Razorpay's terms of service. Prices include applicable taxes unless stated otherwise.
6.3 Fundraising Commissions
A percentage of each product sale is allocated as a fundraising commission for the school. The commission rate is agreed upon between Mefoli and the school and is communicated to the school administrator.
6.4 Refunds and Cancellations
- Before production: Orders may be cancelled for a full refund if the vendor has not yet begun production.
- Defective products: If a product is received damaged or with a printing defect, contact us within 7 days of delivery for a replacement or refund.
- Custom products: Because products are customized with artwork, returns for reasons other than defects are not accepted.
- Processing time: Refunds are processed within 7-10 business days to the original payment method.
7. School Partnerships
Schools participating in the Mefoli program agree to the following:
- Ensure appropriate consent is obtained from parents or guardians before student artwork is uploaded
- Designate authorized school administrators and teachers to manage the school's presence on the Platform
- Provide accurate school information including name, address, and contact details
- Not make misleading claims about products, pricing, or fundraising revenue
School partnerships may be terminated by either party with 30 days written notice. Pending orders will be fulfilled, and any outstanding commissions will be paid out.
8. Vendor Terms
Vendors on the Mefoli Platform agree to:
- Provide accurate product descriptions, pricing, and estimated delivery timelines
- Maintain product quality standards as agreed with Mefoli
- Fulfill orders within the committed timeline
- Handle artwork images received for order fulfillment with confidentiality and delete them after fulfillment
- Not use artwork images for any purpose other than fulfilling the specific order
- Comply with all applicable laws including consumer protection, product safety, and tax regulations
- Maintain valid business registrations (PAN, GSTIN where applicable)
8.1 Vendor Payouts
Vendor payouts are processed according to the payout schedule agreed upon during onboarding. Payouts are subject to order completion and any applicable return period.
9. Intellectual Property
The Mefoli name, logo, website design, software, and all associated materials are the intellectual property of Mefoli and are protected under applicable Indian intellectual property laws. You may not copy, modify, distribute, or create derivative works from our Platform materials without prior written consent.
User-generated content (artwork, reviews) remains the property of the respective users, subject to the licenses granted in these Terms.
10. Limitation of Liability
To the maximum extent permitted by applicable Indian law:
- Mefoli is provided on an "as is" and "as available" basis without warranties of any kind, express or implied.
- Mefoli is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
- Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to Mefoli in the 12 months preceding the claim.
- We are not responsible for the quality, safety, or accuracy of products manufactured and delivered by vendors.
- We are not responsible for any loss or damage to artwork images after they are shared with vendors for fulfillment.
11. Indemnification
You agree to indemnify and hold harmless Mefoli, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any third-party rights
- Content you upload to the Platform (including artwork uploaded without proper authorization)
12. Termination
You may terminate your account at any time by contacting us. We may suspend or terminate your account if:
- You violate these Terms
- We are required to do so by law or a court order
- Your account has been inactive for an extended period
- We discontinue the Platform (with reasonable notice)
Upon termination, your right to use the Platform ceases. Pending orders will be fulfilled. Data will be retained or deleted in accordance with our Privacy Policy.
13. Dispute Resolution
We encourage you to contact us first at support@mefoli.com to resolve any disputes informally. If a dispute cannot be resolved informally, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be in India. The language of arbitration shall be English.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of India. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts in India.
15. Modifications to Terms
We may update these Terms from time to time. Material changes will be communicated to registered users via email at least 15 days before they take effect. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
